March 28, 2018, Vancouver, British Columbia: NatureBank Asset Management Inc. (“NatureBank” or the “Company”) (TSX-V: COO, Frankfurt: 9EA) is pleased to announce that the Company has entered into a binding letter of intent to sell 80% of the issued and outstanding shares of NatureBank’s wholly owned subsidiary Forest Finest Consulting GMBH (“FFC”) to purchasers in the management team of FFC (the “Purchasers”) that include Dirk Walterspacher (“DW”), the Managing Director (Geschäftsführer) of FFC. Under the terms of the letter of intent the Purchasers will acquire the 80% interest in FFC for a total purchase price of $432,000 and potential royalty payments based on FCC’s annual revenue up to a maximum total of $75,000. The letter of intent provides for an exclusivity period, subject to NatureBank’s right to consider and accept unsolicited superior proposals. In the event of a superior proposal, DW will have a five business day right to match the superior proposal.

The completion of the transaction is subject to a number of conditions including receipt of all necessary regulatory approvals (including the approval of the TSX Venture Exchange).
