NATUREBANK ANNOUNCES BOARD APPOINTMENT, WARRANT AND OPTION ISSUANCE

July 19, 2017, Vancouver, British Columbia: NatureBank Asset Management Inc. (“NatureBank” or the “Company”) (TSX-V: COO, Frankfurt: 9EA) is pleased to announce that it has appointed CEO Phil Cull to the Board of Directors (the “Board”) effective immediately. Mr. Cull fills the eighth seat on the NatureBank Board, which has been vacant.

In addition, NatureBank has proposed to amend the Share Purchase Agreement (“SPA”) as announced in a November 8, 2012 press release. The SPA involved the Company purchasing assets, namely Offsetters Clean Technology Inc., and Carbon Credit Corp. from a third party seller (the “Seller”). At that time, NatureBank issued two million share purchase warrants, exercisable at $0.40 to the Seller, in addition to agreeing to specific cash payments as compensation for the assets purchased.

Under the proposed amendment, NatureBank has requested the existing share purchase warrants be cancelled and three million new share purchase warrants be granted to the Seller as consideration for granting NatureBank deferred payment schedules to the original SPA. The warrants would have an exercise price of $0.10 per warrant, with a March 31, 2018 expiration date. This proposal is subject to acceptance by the TSX Venture Exchange.

NatureBank has also issued 1,075,000 options to various employees and consultants to the Company. These options are exercisable at $0.10 and expire two years from the date of issuance.
